Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you or your organisation ("Customer", "you") and Aster Stream Tech Pte. Ltd. ("AsterStream", "we", "us"), a company registered in Singapore, governing your access to and use of the AsterStream AIoT Energy Management System.

These Terms apply to all users of the platform including administrators, managers, viewers, and API users. Supplemental terms may apply for Enterprise customers as specified in a separate Master Service Agreement (MSA).

2. Description of Services

AsterStream provides a cloud-based, multi-tenant AIoT Energy Management System ("Platform") that includes:

• Real-time IoT energy monitoring via gateway integration (Modbus, BACnet, MQTT, OPC-UA)
• AI-powered energy optimisation recommendations and predictive maintenance
• ISO 50001 compliance modules including energy baselines, KPIs, and audit reporting
• ESG carbon emission tracking and reporting aligned with ISO 14064
• Demand management, load shifting, and demand response tools (Professional & Enterprise)
• Data Hub and custom integration pipelines (Enterprise)
• REST API access for data integration with third-party systems

We reserve the right to modify, update, or discontinue features with reasonable notice. Material changes will be communicated at least 30 days in advance via email.

3. Account Registration & Security

To use AsterStream, you must register a tenant account using a valid company registration number as your Tenant ID. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorised access or security breach at info@asterstreambuild.com
• Be responsible for all activities conducted under your account
• Not share credentials across individuals — each user must have a unique account

4. Subscription, Billing & Payment

4.1 Subscription Plans

AsterStream offers the following subscription tiers, billed in USD:

4.2 Payment Terms

• Payments are processed securely via Stripe. We do not store credit card numbers.
• Monthly subscriptions are charged on the same calendar date each month.
• Annual subscriptions are charged once per year, with a 17% discount versus monthly billing.
• All prices are in USD. Stripe handles currency conversion for non-USD payment methods.
• Invoices are automatically emailed after each successful payment.

4.3 Late Payment & Suspension

If a payment fails, we will retry the charge up to 3 times over 7 days. If payment remains unsuccessful after this period, your account will be suspended (read-only access) until payment is received. Accounts suspended for more than 30 days may be terminated.

4.4 Refund Policy

Annual subscriptions are non-refundable except where required by applicable law. Monthly subscriptions may be cancelled at any time, with access continuing until the end of the paid period. Pro-rated refunds are not available for mid-cycle cancellations, except in cases of platform unavailability exceeding SLA thresholds.

5. Acceptable Use Policy

You agree not to use the AsterStream platform for any of the following prohibited activities:

• Reverse engineering, decompiling, or attempting to extract the source code of the platform
• Attempting to gain unauthorised access to other tenants' data or systems
• Transmitting malware, viruses, or malicious code through the platform or API
• Using the platform in violation of any applicable laws, including export control regulations
• Automated scraping, crawling, or bulk data extraction beyond normal API usage
• Reselling or sub-licensing the platform without a separate written agreement with AsterStream
• Conducting penetration testing or security scanning without prior written consent

Violation of this policy may result in immediate suspension or termination of your account without refund.

6. Intellectual Property

All intellectual property rights in the AsterStream platform, including but not limited to the software, AI models, algorithms, user interface designs, documentation, and trademarks, are and shall remain the exclusive property of Aster Stream Tech Pte. Ltd. or its licensors.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform solely for your internal business purposes during the subscription period. This licence does not include any right to sublicense, modify, distribute, or create derivative works.

7. Data Ownership

You grant AsterStream a limited licence to process, store, and analyse Customer Data solely to provide the contracted services. We will not use your operational data for any purpose outside of service delivery without your explicit consent.

Upon termination of your subscription, you have 30 days to export your data via the platform's data export features. After this period, we will permanently delete your data from our systems, except where retention is required by law.

8. Warranties & Service Level Agreement

8.1 Uptime SLA

If we fail to meet the applicable SLA in any calendar month, you are eligible for a service credit equal to 10% of your monthly fee for that month. Credits must be requested within 30 days of the incident. Credits are the sole remedy for SLA failures.

8.2 Disclaimer

Except as expressly stated in this Section, the platform is provided "as is" without warranty of any kind. We disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement to the maximum extent permitted by law.

9. Limitation of Liability

To the maximum extent permitted by applicable law, AsterStream's total cumulative liability to you for all claims arising out of or relating to these Terms shall not exceed the total fees paid by you to AsterStream in the twelve (12) months preceding the claim.

In no event shall AsterStream be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, or goodwill, even if advised of the possibility of such damages.

10. Termination

10.1 Termination by You

You may cancel your subscription at any time. Access continues until the end of the current billing period. To cancel, contact us at info@asterstreambuild.com or use the cancellation option in your account settings.

10.2 Termination by Us

We may suspend or terminate your account with written notice for: non-payment, material breach of these Terms, or if required by law. For serious violations (e.g. security breaches, prohibited use), termination may be immediate without notice.

10.3 Effect of Termination

Upon termination: your access to the platform ceases, you have 30 days to export your data, we will delete your data after the export window, and any outstanding fees remain due and payable.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or in connection with these Terms shall first be subject to good-faith negotiation for 30 days. If unresolved, disputes shall be referred to and finally resolved by arbitration in Singapore in accordance with the Singapore International Arbitration Centre (SIAC) rules, with proceedings conducted in English.
